24.04.2001 EUCDW demands agreement on the position of the European Parliament Take-overs of companies often lead to restructuring and thus also to consequences for the workers. These processes can basically not be prevented. It is therefore necessary that the workers concerned are informed and consulted extensively and in time. At the 2nd reading of the guidelines of takeover bids in December 2000, the European Parliament introduced amendments on the position of the Council of Europe with which the workers' rights should at least be preserved. When dealing with takeover bids, this especially includes information exchange for workers or their representatives as well as the precision of the consideration of interests for the "whole society" including employment conditions. A second point concerns the defence possibilities for companies against so-called "hostile takeovers". In this connection, the European Parliament plans that the board, in acceptance with the supervisory board - where available - can resort to certain defence measures. Originally, the Commission rejected amendment applications on information exchange for workers as well as their representatives under the grounds of being out of place in the regulations concerned. The European Union of Christian Democratic Workers therefore demands that the governments of all EU member countries support the suggestions introduced by the European Parliament in changing the guidelines. The existing rights of cooperation must be protected. It is not possible for the workers' rights of cooperation concerning the European Company Statute to go one way and concerning the takeover guidelines the other. The governments must here too prevent an undermining of workers' rights in the spirit of their decision at Nice on the European company statute.
